1. Agreement to terms

These Terms of Service (“Terms”) govern your access to and use of the OrderPulse website and applications (the “Services”) provided by OrderPulse, Inc. By accessing or using the Services, you agree to these Terms. If you are using the Services for an organization, you represent that you are authorized to bind that organization.

2. Accounts

You are responsible for your account, for keeping credentials secure, and for the activity of users you invite. Notify us promptly of any unauthorized use. You must provide accurate information and keep it current.

3. Subscriptions & billing

Paid plans are priced per rep and billed monthly or annually as selected. Fees are stated at sign-up or in an order form.

• Subscriptions renew automatically for the same term unless cancelled before renewal.
• Fees are non-refundable except where required by law or expressly stated.
• We may change pricing with reasonable notice, effective on your next renewal.

4. Acceptable use

You agree not to:

• Use the Services unlawfully or to infringe others' rights.
• Reverse engineer, resell, or provide the Services to third parties except as permitted.
• Interfere with or disrupt the integrity or performance of the Services.
• Upload malicious code or attempt to gain unauthorized access.

5. Your data

You retain all rights to the business data you and your team put into the Services. You grant us a limited license to host and process it solely to provide and improve the Services and as described in our Privacy Policy. You can export your data at any time.

6. Third-party integrations

The Services connect to third-party systems such as QuickBooks and NetSuite at your direction. Your use of those systems is governed by their own terms, and we are not responsible for third-party services.

7. Intellectual property

The Services, including software, design, and content we provide, are owned by OrderPulse and its licensors and are protected by law. These Terms grant you a limited, non-exclusive, non-transferable right to use the Services during your subscription.

8. Warranties & disclaimers

We provide the Services with reasonable skill and care. Except as expressly stated, the Services are provided “as is” without warranties of any kind, to the fullest extent permitted by law.

9. Limitation of liability

To the maximum extent permitted by law, OrderPulse will not be liable for indirect, incidental, or consequential damages, and our total liability for any claim will not exceed the fees you paid for the Services in the 12 months before the claim.

10. Termination

You may cancel at any time; your subscription continues through the current term. We may suspend or terminate access for breach of these Terms. On termination, you may export your data for a limited period.

11. Changes to these terms

We may update these Terms from time to time. Material changes will be posted here with an updated date and take effect on your next renewal or as otherwise stated.
